Terms of Service

1. Agreement to Terms

By installing, accessing, or using API Import for Google Sheets™ (the "Add-on") or the associated website at apiimport.com (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Add-on or Site.

These Terms constitute a legally binding agreement between you and Codoha Inc. ("we", "us", or "our").

2. Description of Service

API Import for Google Sheets™ is a Google Workspace Add-on that allows users to fetch data from REST and GraphQL APIs directly into Google Sheets™ using natural language prompts and configurable workflows. Features may include AI-assisted query generation, scheduled data refreshes, and OAuth-based authentication with third-party services.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. By using the Add-on, you represent that you meet these requirements.

4. Subscription Plans and Payment

The Add-on is offered under the following plans:

• Free — limited features available at no charge
• Pro — full feature access, billed per user
• Team / Domain — organization-wide access

Paid subscriptions are processed by Paddle.com, our merchant of record. By subscribing, you agree to Paddle's terms and authorize recurring billing. All prices are listed exclusive of applicable taxes unless stated otherwise.

5. Refund Policy

We offer a 14-day money-back guarantee on your first paid subscription. To request a refund within this period, contact us at contact@codoha.com. After the 14-day period, fees are non-refundable except where required by applicable law.

6. Acceptable Use

You agree not to:

• Use the Add-on for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to reverse engineer, decompile, or extract source code from the Add-on
• Use the Add-on to transmit malware, spam, or other harmful content
• Circumvent or attempt to bypass any access controls or usage limits
• Resell or sublicense access to the Add-on without our written permission
• Use any AI-powered feature to process sensitive, confidential, or personal information belonging to others without appropriate authorization

7. Your Data and API Credentials

You are solely responsible for the API credentials, tokens, and data you connect to the Add-on. You represent that you have the right to access and use any third-party API you configure. We are not responsible for actions taken by third-party APIs or data returned by them.

You are responsible for maintaining backups of your spreadsheet data. API calls made through the Add-on may overwrite or modify cell contents — review configurations carefully before running scheduled or automated workflows.

8. AI Features

Certain features use AI language models (currently Google Gemini™ API) to translate natural language into API requests. AI-generated output may be inaccurate, incomplete, or unexpected. You are solely responsible for reviewing all AI-generated requests and any resulting changes to your spreadsheet. We make no warranty regarding the accuracy of AI-generated content.

9. Intellectual Property

All content, software, and materials comprising the Add-on and Site are owned by Codoha Inc. or its licensors and are protected by applicable intellectual property laws. These Terms do not grant you any ownership interest — only a limited, non-exclusive, non-transferable license to use the Add-on for your own internal business purposes.

10. Disclaimer of Warranties

THE ADD-ON AND SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA WILL NOT BE LOST.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CODOHA INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, REVENUE, OR PROFITS, ARISING FROM YOUR USE OF OR INABILITY TO USE THE ADD-ON OR SITE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Termination

We reserve the right to suspend or terminate your access to the Add-on at any time for violation of these Terms or for any other reason at our discretion, with or without notice. You may terminate your subscription at any time through your billing portal. Termination does not entitle you to a refund except as described in Section 5.

13. Changes to These Terms

We may revise these Terms from time to time. We will post the updated Terms with a new effective date. Continued use of the Add-on or Site after the effective date constitutes your acceptance of the revised Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of Taiwan (Republic of China), without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the Hualien District Court, Taiwan.
